Service Level Agreement

1. PLEASE ENSURE THAT YOU READ AND UNDERSTAND THIS SERVICE LEVEL AGREEMENT BEFORE USING Etaxxi Technologies SERVICES.
By continuing to browse and use our website and mobile apps, you are agreeing to comply with and be bound by the following Service Level Agreement, which governs the relationship between Etaxxi Technologies (located at Shop No 23, Laxmi Enclave, Rudrapur, Uttarakhand) and you, hereinafter referred to as the Vendor/Driver.

2. Parties Agreement

2.1 Etaxxi Technologies provides lead generation services to transportation service providers. We receive requests from users of Etaxxi’s various platforms (website, mobile apps, calls, etc.) and transfer these requests to the Vendor/Driver for fulfillment.

2.2 Vendor/Driver acknowledges that Etaxxi is only a technology platform, connecting users with transportation providers. Etaxxi does not provide transportation services or act as a transportation carrier.

3. Agreement Terms

Both parties agree to the following terms and conditions outlined in this Agreement, whether electronic or otherwise.

4. Definitions

• Driver: A principal, agent, or employee of the Vendor, who provides transportation services using Etaxxi Technologies platform.
• User: A customer of Etaxxi Technologies who utilizes our platform to request transportation services.
• Vehicle: A vehicle owned, leased, or hired by the Vendor, suitable for providing transportation services via the Etaxxi Technologies platform.

5. Vendor/Driver Relationship with Users

5.1 The provision of transportation services creates a direct relationship between the Vendor/Driver and the User. Etaxxi Technologies is not a party to this agreement.

5.2 In case of any dispute with a user (e.g., misbehavior, vehicle damage, non-payment), the Vendor/Driver is solely responsible. Etaxxi will assist reasonably but not take responsibility for disputes.

6. Vendor’s Relationship with Etaxxi Technologies

6.1 The Vendor acknowledges that Etaxxi Technologies is a service provider that connects Vendors/Drivers with customers. The relationship is independent and not one of agency, partnership, or joint venture.

6.2 Etaxxi Technologies may deactivate a Vendor or Driver at its sole discretion if their actions harm the Etaxxi brand or violate the terms of this Agreement.

7. Vendor’s Relationship with Drivers

7.1 The Vendor is solely responsible for any obligations to Drivers, including compliance with laws related to tax, social security, insurance, and employment.

7.2 Ratings and feedback can be provided by both Users and Drivers via the Etaxxi platform, and feedback must be given in good faith.

8. Driver and Vehicle Requirements

8.1 Driver Requirements

• Hold a valid driver’s license and necessary certifications.
• Maintain appropriate insurance and pollution certification.
• Maintain hygiene, wear a mask, and adhere to all COVID-19 guidelines.
• Refrain from smoking, alcohol, and narcotics during service.

8.2 Vehicle Requirements

• Be registered and licensed for passenger transportation.
• Be in good operating condition and maintained according to industry standards.
• Be clean and sanitary.

8.3 Documentation

8.3.1 The Vendor must provide Etaxxi Technologies with copies of all necessary licenses, permits, and certifications before starting service. These must be updated regularly to ensure compliance.

9. Payment Policy and Fare Adjustment

9.1 By agreeing to this agreement, Vendor agrees to our pricing policy and payment policy as given below:

• Etaxxi reserves the right to change its fare/pricing policy from time to time.
• Vendors will get the prices for each individual instance of transport service request on Etaxxi mobile app.
• Etaxxi reserves the right to make adjustments in the Fare for certain cases of giving inappropriate transportation services.

10. Membership

10.1 Etaxxi reserves the right to offer memberships to Vendor at any price. All fees for membership are payable in advance of the provision of the service and are non-refundable.

10.2 Etaxxi DOES NOT GUARANTEE any minimum number of taxi bookings, increase in leads or any sales as a result of your purchase of membership.

11. Taxes

11.1 The Vendor acknowledges and agrees that it is required to complete all tax registration obligations and calculate and remit all tax liabilities related to the provision of transportation services as required by applicable law.

12. Intellectual Property

12.1 The Etaxxi services, Etaxxi logo, Etaxxi website, Etaxxi mobile application, and Etaxxi data, including all other intellectual property rights therein, are and shall remain the property of Etaxxi.

13. Term

13.1 This agreement shall commence on the date that the agreement in any format is executed by Vendor (electronically or otherwise) and shall continue until terminated as set forth herein.

14. Termination

14.1 Either party may terminate this agreement: (a) without cause at any time upon seven (7) days prior notice to the other party; (b) immediately, without notice, for the other party’s material breach of this agreement;

15.1 Vendor/Driver agrees to indemnify and hold Etaxxi and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with:

16. Jurisdiction

16.1 The terms shall be construed in accordance with Indian law and the parties hereby submit to the exclusive jurisdiction of the courts of Rudrapur, Uttarakhand, India, to settle any disputes.

17. Disclaimer, Limitation of Liability and Indemnity

17.1 THE SERVICES, CONTENT, AND ANY THIRD PARTY CONTENT ARE PROVIDED BY Etaxxi ON AN “AS IS” BASIS AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND.
